C-Tracks Exchange-Traded Notes Based on the Performance of the Miller/Howard MLP Fundamental Index

The investment seeks a return that based on the Performance of the Miller/Howard MLP Fundamental Index (the "index"), which the adviser refer to as the C-Tracks, are unsecured senior debt securities issued by Citigroup Inc. The index is designed to measure the performance of 25 energy master limited partnerships ("MLPs") selected quarterly by a methodology that is based upon certain quantitative fundamental factors of publicly traded MLPs, including distribution growth, estimated capital expenditures and distribution coverage.
